As announced to the Copenhagen Stock Exchange on 4 March 1997 Carlsberg A/S has entered into an agreement with The Coca-Cola Company for the establishment of Coca-Cola Nordic Beverages A/S (CCNB) in which Carlsberg A/S is to hold 51 per cent of the shares. CCNB will be responsible for the production, sale and distribution of Coca-Cola and other soft drink brands in the Nordic countries. The agreement was referred to the EU Commission on 25 March 1997 to the extent it relates to Denmark and Sweden.
Today the EU Commission has announced that it approves the joint venture agreement between Carlsberg A/S and The Coca-Cola Company. Thus the parties will now be able to start their commercial co-operation for the production, sale and distribution of soft drinks in Denmark through A/S Dadeko and in Sweden through Coca-Cola Drycker Sverige AB.
Furthermore, the EU Commission has announced today that it accepts a distribution co-operation in Sweden between Coca-Cola Drycker Sverige AB and Falcon Bryggerier AB, in which Carlsberg A/S has a 50 per cent shareholding.
In connection with the Commissionís review of Coca-Cola Nordic Beverages A/S, Carlsberg A/S and The Coca-Cola Company have offered certain undertakings, following discussions with the Commission. As a result, Carlsberg A/S undertakes within a deadline agreed with the Commission to dispose of its shares in A/S Dansk Coladrik and Jyske Bryg Holding AS.

At the same time, we look forward to co-operating with The Coca-Cola Company to the mutual benefit of our companies."
